1. Acceptance of Terms

Welcome to GeoTrak Technologies (“GeoTrak,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the GeoTrak telematics and fleet management platform, including all websites, applications, integrations, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Eligibility and Authorized Use

The Services are designed for enterprises, government agencies, and authorized organizations within the Kingdom of Saudi Arabia. By using the Services, you represent that you are legally authorized to act on behalf of your organization and that all information you provide is accurate and up to date. You are responsible for maintaining the confidentiality of your login credentials and for any actions taken through your account. Unauthorized access or misuse of the Services may result in suspension, termination, and potential legal consequences.

3. Service Use and Restrictions

The Services may only be used for lawful business purposes in accordance with contractual agreements. You agree not to engage in activities that could compromise system security, disrupt functionality, or violate Saudi Arabian laws, including the Anti-Cybercrime Law. Reverse engineering, unauthorized copying, or tampering with the Services is strictly prohibited.

4. Intellectual Property Rights

All intellectual property rights associated with the Services, including software, trademarks, interfaces, and content, are the exclusive property of GeoTrak Technologies and its licensors. Access to the Services does not grant ownership or rights beyond the limited license to use the Services for your organization’s internal purposes in line with these Terms. Unauthorized use, reproduction, or distribution of the Services is prohibited without prior written approval from GeoTrak.

5. Data Protection and Security

GeoTrak is committed to protecting the confidentiality, integrity, and availability of all data processed through the Services. As a Saudi-hosted platform, all data remains within the Kingdom of Saudi Arabia in compliance with the Personal Data Protection Law (PDPL) and the National Cybersecurity Authority’s Essential Cybersecurity Controls (ECC). While we implement strict security measures, no system can be guaranteed to be free of vulnerabilities, and you acknowledge that use of the Services carries inherent risks.

6. Service Availability and Disclaimer of Warranties

The Services are provided “as is” and “as available.” While GeoTrak strives to maintain high uptime and operational continuity, we do not warrant that the Services will be free of errors, interruptions, or delays. To the fullest extent permitted by law, GeoTrak disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the maximum extent permitted by law, GeoTrak shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, operational disruption, or data loss. In no case shall GeoTrak’s liability exceed the total fees paid under the relevant contract in the twelve months preceding the incident that gave rise to the claim.

8. Compliance with Law and Cooperation with Authorities

Users of the Services must comply with all applicable Saudi Arabian laws, including cybersecurity, data protection, and telecommunications regulations. GeoTrak may be required to cooperate with regulators, enforcement authorities, or courts by disclosing data or user information where legally mandated.

9. Modifications to the Terms

GeoTrak reserves the right to amend or update these Terms in response to changes in legal, technical, or operational requirements. Updates will be published on our official website. Continued use of the Services after such changes constitutes acceptance of the revised Terms.

10. Governing Law and Jurisdiction

These Terms, together with any related agreements, are governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from or relating to the Services shall be subject to the exclusive jurisdiction of the competent courts of Riyadh, unless otherwise required by law.
